1. Introduction

PremioGuard — endpoint device control, Data Loss Prevention (DLP), and system security software for Windows fleets — is a proprietary commercial product. This Ownership Statement explains who owns the PremioGuard software and its intellectual property, what rights you receive when you subscribe, and the installation-authorisation boundary every customer must observe when deploying the agent.

2. Intellectual Property Rights

The PremioGuard software — including the background desktop agent engine, the management web panels and APIs, the licence-key system, the network and kernel-level drivers, the installer binaries, the accompanying documentation, and all source code, object code, look-and-feel, and derivative works — is the exclusive proprietary property of PremioGuard Inc. and its affiliates ("PremioGuard", "we", "us", "our").

All intellectual property rights in and to the PremioGuard platform, whether by copyright, patent, trade secret, trademark, or any other legal regime, are and remain the sole property of PremioGuard. Nothing in your subscription, your licence key, or your use of the software transfers ownership of any PremioGuard intellectual property to you.

Licence, not sale. When you purchase a PremioGuard subscription you receive a limited, non-exclusive, non-transferable, revocable licence to install and use the agent on the number of enrolled computers your plan allots, and to access the management console during your paid term. You do not purchase the software itself.

3. Trademarks and Brand Assets

"PremioGuard", the PremioGuard wordmark, the shield logo, and all associated logos, product names, service names, slogans, and trade dress are trademarks or registered trademarks of PremioGuard Inc. You may not use any PremioGuard trademark in a manner that suggests endorsement, affiliation, or sponsorship by PremioGuard, or that could cause confusion about the source of the software.

4. Workstation Installation Boundary Declarations

The PremioGuard Windows agent is security software that runs with elevated privileges on enrolled computers. It observes processes, enforces device-control policy, and can restrict or block hardware and software activity. For that reason its deployment is strictly bounded:

  • Legal corporate ownership or explicit authorisation required. You may only install the PremioGuard agent on a computer workstation that (a) you or your organisation legally owns, or (b) you have explicit administrative rights over, or (c) you have verified written authorisation from the legal owner or their delegated administrator to deploy.
  • No third-party deployment. Installing the PremioGuard agent on a computer you do not own, do not administer, and are not expressly authorised to manage — including a friend's, family member's, coworker's, or competitor's computer — is strictly forbidden.
  • No covert or malicious tracking. The PremioGuard agent must not be deployed for the purpose of covert surveillance, unauthorised employee monitoring, or malicious system tracking on any computer where the user has not been informed by their organisation's legitimate security policy. Unapproved deployment or malicious system tracking on third-party computers is strictly forbidden.

5. Customer Obligations

As a PremioGuard customer you are responsible for:

  • Confirming administrative authority over every endpoint on which the agent is installed.
  • Informing end users, where required by applicable law or your organisation's policy, that endpoint security software is installed and what data it reports.
  • Maintaining the confidentiality of your licence keys and management-console credentials.
  • Ensuring your use of PremioGuard complies with data-protection, privacy, and employment laws applicable in the jurisdictions where enrolled computers operate.

6. Prohibited Uses

You may not:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the PremioGuard agent, drivers, or management panels.
  • Distribute, sublicense, rent, or lease the PremioGuard software or your licence key to any third party.
  • Use the agent to monitor or control computers you do not own or administer.
  • Tamper with, disable, or attempt to evade the agent's enforcement mechanisms on computers you do not have authority to manage.
