These Terms & Conditions form a binding agreement between you (or the organisation you represent) and PremioGuard for the use of the cloud service, the subscription you purchase, and the desktop agent installed on managed computers. They apply together with the Privacy Policy and the User Agreement (EULA), which describe how we handle data and what the software on your machines does.
By creating an account, purchasing a subscription, or installing the agent, you accept these Terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" includes that organisation.
You warrant that the information you supply at registration and on billing matters is accurate and current, and that you will keep it so. Inaccurate billing details may cause a payment to fail and, where repeated, may lead to suspension under section 6.
You are responsible for activity under your account, including activity by sub-accounts you create. You must keep credentials confidential, enable second-factor authentication, and notify us promptly at contact@premioguard.com if you believe an account or credential has been compromised.
You must be at least 16 years old, or the age of majority where you live, to open an account.
An Administrator may create sub-accounts for staff. A sub-account holds a permission set chosen by the Administrator, not a full independent account. You are responsible for the permissions you grant, including removing access when a person leaves your organisation.
Subject to payment and continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and install the Agent on Managed Computers up to the number of activations your subscription includes.
The Service and the Agent, including their software, design, documentation, and trademarks, remain our property or that of our licensors. These Terms grant no ownership interest in them.
Subscriptions are sold for the term and at the price shown at purchase. Prices are exclusive of value-added tax and of any withholding tax, which is added or deducted as required by law.
Subscriptions renew automatically at the end of each term for a further period of the same length, unless cancelled beforehand. We will attempt to collect the renewal charge a reasonable period before expiry, and will notify the Account Holder by email before renewal.
Plan changes. Moving to a lower plan takes effect at the next renewal; moving to a higher plan takes effect immediately, with the difference charged pro-rata for the remainder of the term. Where a downgrade would leave you above the new plan's activation limit, excess Managed Computers stop validating at the change date.
If a renewal charge fails, we will notify you and retry. A grace period applies during which the Service continues to operate; a failure not resolved within the grace period causes the subscription to lapse and Managed Computers to stop validating.
You may cancel at any time from the billing page or by contacting us. Cancellation stops the next renewal; it does not by itself entitle you to a refund of the current term.
Where you request a refund within 14 days of a purchase and the subscription has not been materially used, we will refund it. We do not ordinarily refund renewals already started, except where the Service has been materially unavailable or defective for a substantial period, or where a statutory right applies. Licence and activation records are retained after a refund so we can prevent a refunded licence being re-activated for the same term.
A trial provides temporary access for the stated period and converts to a paid subscription only if you choose to subscribe. Trials may be offered once per person or organisation, and may be withdrawn at any time.
We may change prices for a new term. We will give at least 30 days' notice before a renewal at a higher price takes effect, and you may cancel instead.
You may terminate immediately by written notice if we materially breach these Terms and fail to remedy the breach within 30 days of notice describing it.
We may terminate or suspend an account immediately where you:
Where the risk can be contained, we may suspend rather than terminate — disabling a single sub-account, suspending one licence, or disabling enforcement on one Managed Computer while an investigation is open. A suspension is reversible and we will tell you what must be resolved to lift it.
On termination or expiry, dashboard access ends immediately; the Agent stops validating and Managed Computers return to the operating system's default behaviour; you must remove the Agent if you no longer hold a valid licence; and fees already paid for the current term are non-refundable except where section 5.5 applies.
We may retain data as set out in the Privacy Policy's retention schedule, including where we must retain billing records for tax purposes.
We may reinstate a terminated account where the cause is remediable, at our discretion and subject to full re-verification of the account and its payment method.
You agree not to use the Service, or permit anyone to use it, to:
You decide what is blocked and what is permitted on your Managed Computers. We provide the mechanism; the consequences of the rules you set are yours. Before enabling enforcement you must comply with any laws in your jurisdiction governing workplace monitoring, employee consultation, and notice, and with your own internal policies.
Where a policy defined in the dashboard conflicts with a configuration held locally on a Managed Computer, the centrally issued policy takes effect on the next sync. Policies are enforced on the next poll of the Agent, not instantaneously when you save a change, so a device that is offline retains its last received policy until it reconnects.
We may change how enforcement operates — the mechanism by which a USB port is blocked, the heuristics used to classify a threat, or the definition of a blocked network connection. Such changes may alter what a given policy blocks. We aim to preserve the intent of your configuration and will not reduce the protection your plan includes, but we cannot guarantee that a device behaves identically across a version change.
A policy that blocks a device or an application stops the work in progress on the affected machine. You are responsible for sequencing rollouts, exempting necessary hardware, and maintaining a rollback. PremioGuard gives no guarantee of uninterrupted operation of third-party software, and a blocked port will cause data loss in whatever was writing to it.
The Service may link to or integrate with third-party services, including payment processors and identity providers. Those services are governed by their own terms, and we are not responsible for them. Your use of them is at your own risk and subject to your own assessment of their privacy practices.
The Service, the Agent, the "PremioGuard" name and logo, and all associated software, designs, documentation, and data are owned by us or our licensors and protected by intellectual property law. We grant you a limited right to use them as set out in section 4, and no other.
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use it without restriction or attribution.
You retain all rights in content you upload, such as files transferred under a transfer policy. You grant us only the licence needed to host, process, and serve that content to you and to the Managed Computers you authorise, as described in the Privacy Policy.
Except as expressly stated, and to the maximum extent permitted by law, the Service and the Agent are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of malware, or that any threat will be detected, quarantined, or prevented.
We do not warrant that a policy you configure will achieve a particular business or security outcome, and we are not responsible for decisions you make on the basis of information the Service reports.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited. Your statutory rights as a consumer are not affected.
Subject to the paragraph above, and to the fullest extent permitted by law:
Aggregate cap. Our total aggregate liability arising out of or in connection with the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the total amount you paid us for the Service in the 12 months preceding the event giving rise to the claim, irrespective of the number of claims.
You agree to indemnify and hold harmless PremioGuard, its officers, employees, and agents against any claim, loss, damage, or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, your misuse of the Agent in a way that infringes a third party's rights, or your deployment of monitoring in a manner that breaches data protection law.
We aim for high availability but do not offer a formal service level agreement unless one is separately signed. Planned maintenance is notified in advance where practicable.
Support is provided to Account Holders by email at contact@premioguard.com and through the in-product enquiry form. Response targets are set out on the pricing page and apply to business hours in the United Kingdom. Support is not a 24-hour incident response service unless your subscription expressly says so.
You may export your fleet data, logs, and licence records while your subscription is active and for 30 days after it ends. After that, retention follows the schedule in the Privacy Policy.
These Terms and any dispute arising from them are governed by the laws of England and Wales, without regard to its conflict-of-laws rules. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.
The courts of England and Wales have exclusive jurisdiction, save that we may seek injunctive relief in any competent jurisdiction to protect our intellectual property or the Service.
Please contact us first. Most disputes are resolved by support, and we would rather resolve yours than litigate it. This does not limit your right to bring proceedings.
These Terms, with the Privacy Policy and the EULA, are the entire agreement between us on their subject matter and replace any prior statement, other than a statement made fraudulently.
We may amend these Terms. Material changes will be notified by email to the Account Holder at least 14 days before taking effect. Continuing to use the Service after the effective date constitutes acceptance.
If a provision is found unenforceable, it is modified to the minimum extent necessary, and the remaining provisions continue in force.
Failure to enforce a provision is not a waiver of it. A waiver is effective only if given in writing.
You may not assign these Terms without our consent. We may assign them to a successor of the business or on a corporate transaction, subject to section 8 of the Privacy Policy.
Neither party is liable for failure to perform caused by an event beyond its reasonable control, provided it mitigates the effect and resumes performance as soon as practicable.
A person who is not a party to these Terms has no right to enforce them.
Headings are for convenience only. "Including" means "including without limitation". A reference to a section is to a section of these Terms.
By using the Service you confirm you have read, understood, and agree to these Terms, and agree to the Privacy Policy and the User Agreement.
